Welcome to Talent Grid Africa (“we”, “us”, “our”). These Terms & Conditions (“Terms”) govern your access to and use of our website, services, and related platforms (collectively, the “Services”). By using or accessing our Services, you (“you”, “User”, “Client”, “Candidate”) agree to be bound by these Terms.
If you do not agree with any part of these Terms, you must stop using the Services immediately.
1. Definitions
Some key definitions used in these Terms:
“Services” means all services provided via our website or otherwise, including but not limited to recruitment, employer of record (EOR) services, payroll outsourcing, staff outsourcing, HR advisory, executive search, visa & work permit services, consultation, and other workforce solutions.
“Client” means a person or organization who contracts with us to use our services (e.g. to hire talent, outsource HR functions).
“Candidate” means a person seeking employment or contracting opportunities, whose resume, profile or information is submitted or managed via our Services.
“User Content” means any content you upload, submit, post, or transmit through the Services (e.g. CVs, documents, profile information, messages).
2. Acceptance of Terms / Eligibility
2.1 You represent and warrant that (a) you are of legal age to enter into a binding contract in your jurisdiction, (b) you have the authority to bind your organization (if applicable), and (c) you will use the Services in compliance with applicable laws and these Terms.
2.2 We reserve the right to refuse or suspend access to the Services to any user at any time, for any reason (or no reason), with or without notice or liability.
3. Use of the Services
3.1 Account / Registration
To access certain features (e.g. applying for roles, managing clients), you may need to register for an account. You must provide accurate, current, and complete information, and maintain and promptly update your account details.
You are responsible for safeguarding your login credentials and any activity under your account.
3.2 Permitted Use
You may use the Services only for lawful purposes and in accordance with these Terms. You may not:
Use the Services in any way that violates local, national, or international laws or regulations;
Upload or transmit viruses, malware, or other harmful code;
Impersonate others or misrepresent your affiliation;
Interfere with or disrupt the Services or servers;
Use data mining, scraping, or automated means to access or collect data;
Use the Services to send unsolicited bulk messages (spam).
3.3 User Content / Data
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to use, duplicate, adapt, publish, translate, distribute, and display your content in connection with the Services. You represent that you either own all User Content or have all necessary rights to grant this license.
We may monitor, remove, or disable content at our discretion (e.g. that violates these Terms).
4. Intellectual Property
All content, trademarks, logos, design, software, icons, graphics, and other materials on or in connection with the Services (excluding your User Content) are owned by or licensed to us and are protected by copyright, trademark, and other intellectual property laws.
You may not copy, reproduce, modify, distribute, display, or create derivative works without our express written permission.
5. Fees, Payments, and Refunds
5.1 Fees
When you engage our paid services (e.g. recruitment, EOR management, payroll, outsourcing), you agree to pay the fees set out in the applicable agreement, order form, or invoice. All fees are in the currency specified, exclusive of taxes, unless otherwise stated.
5.2 Invoicing & Payment Terms
Invoices are due by the date specified (e.g. within 30 days). Late payments may bear interest or penalties as permitted by law. If payment is not received, we may suspend or terminate the Services.
5.3 Refunds
Refund policies (if any) will be set out in the relevant service agreement or proposal. To the extent permitted by law, we may refuse refunds or require you to meet certain conditions.
6. Disclaimers & Warranty Limitations
6.1 No Guarantee of Employment or Outcomes
We do not guarantee that candidates will be placed or that clients will receive particular results. Our Services are provided on an “as is, as available” basis.
6.2 Warranties
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, noninfringement, and accuracy.
6.3 Limitation of Liability
In no event shall we (or our officers, directors, employees, agents) be liable for indirect, incidental, special, consequential, punitive, or exemplary damages (including loss of profits, data, business interruption) arising from or related to your use of or inability to use the Services, even if we have been advised of the possibility of such damages.
Our total aggregate liability under these Terms (and all service agreements) is limited to the fees you paid to us in the preceding [12 months] or another mutually agreed cap.
7. Confidentiality
You and we agree to maintain the confidentiality of all non-public, proprietary, or confidential information disclosed by one party to the other in connection with the Services. Confidential information does not include information that is public or lawfully obtained from others without restriction.
This confidentiality obligation survives termination of these Terms.
8. Privacy & Data Protection
We handle personal data in accordance with our Privacy Policy, which is hereby incorporated by reference. By using the Services, you consent to our data practices described in the Privacy Policy.
You are responsible for ensuring you satisfy any data collection, transfer, or processing obligations (e.g. under local data protection laws).
9. Termination / Suspension
9.1 Termination by You
You may terminate your use of the Services at any time by notifying us or ceasing use.
9.2 Termination or Suspension by Us
We may suspend or terminate your access, or individual services, at any time, without notice, if you breach these Terms or for any other reason.
Upon termination, your rights and licenses under these Terms immediately cease. You must stop all use of the Services and delete any copies of our materials.
Sections which by their nature survive termination (e.g. Intellectual Property, Limitations of Liability, Confidentiality) will remain in force.
10. Dispute Resolution & Governing Law
10.1 Governing Law
These Terms and any service agreements are governed by and construed in accordance with the laws of [Jurisdiction / Country — e.g. Kenya or another agreed country], without regard to conflict of laws.
10.2 Dispute Resolution
You and we will attempt to settle any dispute amicably. If resolution is not possible, either party may bring the dispute before the courts or arbitration in [city / jurisdiction], or in accordance with any alternative dispute resolution mechanism agreed between us.
11. Indemnification
You agree to indemnify, defend, and hold harmless Talent Grid Africa, its affiliates, and their officers, employees, agents, licensors from any claim, demand, damage, loss, liability, or expense (including reasonable legal fees) arising out of or relating to:
your violation of these Terms;
your breach of any representation, warranty, or obligation under these Terms;
your use of the Services;
your User Content;
your failure to comply with applicable laws or third-party rights.
12. Notices
All notices under these Terms shall be in writing and sent to the contact information you provide, or to our official address, or via electronic means as permitted. Notices are effective upon delivery (if delivered in person or by mail) or when the recipient acknowledges receipt (for email).
13. Changes to the Terms
We reserve the right to modify or revise these Terms at any time. The revised Terms will become effective when posted on the site (with an updated “Last updated” date). Your continued use of the Services after that date constitutes your acceptance of the updated Terms.
If a change is material, we may provide advance notice (e.g. via email or site notice).
14. Miscellaneous
Severability: If any provision of these Terms is held invalid or unenforceable, the remainder shall continue in full force.
Waiver: Our failure to enforce any right or provision does not constitute a waiver of such right or provision.
Assignment: You may not assign your rights or obligations under these Terms without our prior written consent. We may assign without restriction.
Relationship of Parties: These Terms do not create a partnership, joint venture, employer-employee, or agency relationship between you and us.
Third-Party Beneficiaries: Unless explicitly stated, no one other than the parties and their permitted assigns may enforce these Terms.
